1. Who we are
The Rilvo Coworker service (the “Service”) is provided by S.C. Asperitas Solutions S.A., a company incorporated under Romanian law with its registered office at Aleea Cioplea nr. 14, parter, cam. 1, Brașov, Romania, Trade Register No. J8/985/2017, Tax/VAT ID (CUI) RO37465749, trading under the Rilvo / Rilvo Coworker brand (“Rilvo”, “we”, “us”).
Contact: contact@rilvo.it – for data protection matters: privacy@rilvo.net.
2. Subject matter and scope
2.1. These Terms and Conditions (the “Terms”) govern the provision of the Service to the customer who subscribes to it (the “Customer”). Rilvo and the Customer are also referred to as the “Parties”.
2.2. The contract between the Parties (the “Contract”) consists of: (a) the order placed through the Stripe payment link (Article 4) or the accepted offer, (b) these Terms, (c) the Data Processing Agreement referred to in Article 12, and (d) any quotes for custom projects. In the event of conflict, the following prevail in this order: the order or accepted offer, the Data Processing Agreement, and these Terms.
2.3. The Customer’s own general terms and conditions do not apply unless accepted by Rilvo in writing.
3. Service for businesses and professionals only
3.1. The Service is intended exclusively for businesses, professionals and organisations acting for purposes relating to their trade, business, craft or profession.
3.2. By subscribing to the Service, including by ticking the relevant box on the payment page (Article 4.3), the Customer declares that it is not a consumer within the meaning of the Italian Consumer Code (Legislative Decree No. 206/2005) or any similar applicable legislation, and that it is acting for purposes relating to its business. Consequently, the protections provided for consumers do not apply, including the right of withdrawal for distance contracts.
3.3. The Customer shall provide correct identification details (company name, registered office and VAT number or other tax identification number, which is mandatory to complete the purchase). If it turns out that the Customer is a consumer, Rilvo may refuse the subscription or terminate the Contract with immediate effect.
4. Conclusion of the Contract
4.1. As a rule, the subscription is preceded by a free introductory call, in which the Parties assess the Customer’s needs and the suitability of the Service.
4.2. The Service (monthly plans and pilot, Articles 7.1 and 7.7), the prepaid hour packs (Article 7.2), online team training (Article 7.5) and hourly consulting (Article 7.8) are purchased through Stripe payment links (“Payment Links”) made available by Rilvo, for example on the website or after the introductory call. The payment page states the service, the price, the billing frequency and links to these Terms and to the Data Processing Agreement.
4.3. To complete the payment, the Customer must: (a) provide its company name, billing address and VAT number or other tax identification number; (b) tick the box by which it declares that it is acting as a business or professional and not as a consumer (Article 3) and accepts these Terms and the Data Processing Agreement; (c) expressly accept, by means of a separate declaration, the clauses listed in Article 25, pursuant to Articles 1202 and 1203 of the Romanian Civil Code. The VAT number and the declarations referred to in points (b) and (c) are mandatory: without them, the payment cannot be completed.
4.4. The Contract is concluded when the payment through the Payment Link has been successfully completed. As confirmation of the purchase, the Customer receives the payment receipt and the invoice by email, through Stripe.
4.5. Rilvo keeps a record of each acceptance (date and time, Customer details, service purchased, version of the Terms and of the Data Processing Agreement accepted, boxes ticked) and provides a copy to the Customer on request. The record is kept with the payment data at Stripe and, as a copy, by Rilvo for 10 years after the termination of the Contract.
4.6. Rilvo may refuse a subscription request, for example if the Service is not suited to the Customer’s needs or if the Customer is not a business or professional. If payment has already been made, Rilvo will refund it in full.
5. Description of the Service
5.1. Rilvo Coworker is a managed “digital colleague” for small and medium-sized enterprises that supports the Customer with recurring operational work, for example: preparing drafts, quotes and follow-ups; sorting incoming requests; reminders and deadlines; organising documents and materials.
5.2. The Service operates through the Telegram, Slack and Discord channels. WhatsApp is not included. Integration with Microsoft Teams is under development and does not form part of the Service until Rilvo announces its availability.
5.3. The Service runs on a virtual private server (VPS) dedicated to each Customer, located in Germany (EU), with controlled access, administrative access only through an encrypted private network, and with the minimum permissions necessary on the Customer’s tools.
5.4. The Service can be configured to ask for the Customer’s approval before sensitive or irreversible actions (for example, sending a message or a quote to third parties, or deleting data). The Customer decides, at activation, for which actions approval is required, and may change that choice later by request to Rilvo. For actions that the Customer chooses not to subject to approval, Article 6.2 continues to apply.
5.5. The Service includes the initial activation and human support from the Rilvo team, within the limits of Article 11.
5.6. The detailed content of the Service for each Customer (activities covered, channels, connected tools) is agreed at activation. For the time being, the fee does not include predefined usage limits (for example, on the number of activities or connected tools), without prejudice to Article 5.7 on reasonable use.
5.7. Reasonable use. In the Rilvo Coworker plan and in the pilot (Articles 7.1 and 7.7), use of the artificial intelligence systems is included in the price subject to reasonable use, meaning use consistent with the normal operational needs of a single SME for the activities described in Article 5.1 (drafts, quotes, follow-ups, sorting of requests, reminders, documents). Reasonable use does not include, for example, mass or automated content generation, resale of the Service or its use on behalf of third parties, or volumes that are abnormal in relation to the Customer’s business. Rilvo monitors usage volumes in aggregate form. If, for 2 consecutive months, the Customer’s usage is well above normal usage, Rilvo will first contact the Customer to discuss it and may then propose a higher plan or reasonable usage limits. Alternatively, the Customer may always cancel the Contract under Article 9.2. No functionality will be interrupted or restricted without prior notice, and no additional charge will be made without the Customer’s agreement.
5.8. EU-only artificial intelligence models. Only at the Customer’s request, Rilvo may configure the Service to use exclusively artificial intelligence models processed in the European Union, through a European provider (for example, Mistral AI, France). This option may involve differences in functionality or price, which will be communicated and agreed before activation.
5.9. Plan with your own AI account. The following conditions apply to the “Rilvo Coworker with your own AI account” plan (Article 7.1(b)):
- the Service uses artificial intelligence models through the Customer’s account with a supported provider (currently OpenAI or Anthropic; other providers only after Rilvo has checked their compatibility). The Customer creates the API key in its own account, with Rilvo’s guidance, and Rilvo configures it in the Service;
- the Customer contracts directly with the AI provider, which is the Customer’s own provider and not a subcontractor or sub-processor of Rilvo. The Customer is responsible for complying with the provider’s terms, for entering into any necessary agreements with the provider (including, where applicable, a data processing agreement and safeguards for any transfers outside the European Economic Area) and for choosing its account settings, for example on data retention and on the use of data for training;
- all model usage costs are borne by the Customer, which pays them directly to the provider on the provider’s terms. Rilvo may help the Customer set spending limits and alerts in its account, but control of spending remains with the Customer. Except in cases of intent or gross negligence (Article 1355 of the Romanian Civil Code), Rilvo is not liable for usage costs charged by the Customer’s AI provider, or for the availability, performance, terms or data processing of that provider;
- the Customer keeps the API key safe and may revoke it at any time from its account. If the key is revoked, expired or not working, or if the Customer’s account is suspended or out of credit, the Service cannot use artificial intelligence models until the Customer connects a valid key; the fee remains payable;
- Article 5.7 (reasonable use) and Article 5.8 (EU-only models) do not apply.
6. Use of artificial intelligence and Customer oversight
6.1. The Service uses artificial intelligence systems, including systems provided by third parties. The content generated (drafts, quotes, classifications, summaries, proposed actions) may contain errors, inaccuracies or omissions.
6.2. The Customer is responsible for reviewing and approving the content and actions proposed by the Service before they are used or sent to third parties. Human oversight and final decisions remain with the Customer.
6.3. The Service does not provide legal, tax, accounting or other professional advice. The Customer must not use the Service to take decisions that produce legal or similarly significant effects on natural persons without appropriate human review.
7. Prices, packages, custom projects, training and consulting
7.1. Monthly plans. The Service is available in two monthly plans:
- (a) Rilvo Coworker: €249 per month + VAT, with use of the artificial intelligence systems included subject to reasonable use (Article 5.7);
- (b) Rilvo Coworker with your own AI account: €189 per month + VAT, on the conditions of Article 5.9; artificial intelligence model usage costs are not included and are paid by the Customer directly to its own provider.
In both plans the initial activation is included and there are no setup costs. The monthly plans have no minimum term and may be cancelled at any time; no refunds are given and the plan remains active until the end of the month already paid (Article 9). The Customer may ask to switch from one monthly plan to the other; the switch takes effect from the following monthly period.
7.2. Prepaid hour packs (optional). For work beyond what is included in the Service fee or for consulting on AI assistants and agents (Article 7.8), the Customer may purchase:
- €450 + VAT: up to 5 hours, valid for 3 months from purchase;
- €850 + VAT: up to 10 hours, valid for 6 months from purchase.
Hours are deducted in 30-minute blocks, based on the time actually spent; each block started is counted in full (for example, 40 minutes of work uses 1 hour). Rilvo will notify the Customer before the hours are used up. Unused hours expire at the end of the validity period, including if the Contract is terminated, and are non-refundable.
7.3. Custom projects. Work not included in the fee or in the packages (for example, custom integrations) is carried out on the basis of a separate fixed-price quote accepted in writing by the Customer.
7.4. All prices are exclusive of VAT and any other applicable taxes.
7.5. Online team training. Rilvo may provide online team training sessions as a consultancy service separate from the Service fee. Each session lasts half a day, is for up to 12 participants and costs €490 + VAT. The date, content and tool covered are agreed with the Customer and stated in the offer or on the page of the relevant Payment Link. The price is paid in full at the time of purchase (Article 8.1). The training is not legal advice and does not guarantee regulatory compliance, for example with the AI literacy obligations under Article 4 of Regulation (EU) 2024/1689 (AI Act); Rilvo gives the Customer a record of the training delivered.
7.6. Cancellation of training. The Customer may cancel a training session free of charge, by written notice to contact@rilvo.it, up to 7 days before the agreed date: in that case, Rilvo refunds the price paid in full. If the Customer cancels less than 7 days before the agreed date, 50% of the price is due as a contractual penalty and Rilvo refunds the remaining 50%. Refunds are made within 14 days of the notice of cancellation. No refund is due if the Customer does not attend without having cancelled. If Rilvo cancels or reschedules a training session, the Customer may choose between a new date and a full refund of the price paid; the refund is made within 14 days of the Customer’s choice.
7.7. 30-day pilot. The pilot allows the Customer to try the Service on a real task before subscribing to a monthly plan.
- Price and duration. The pilot costs €199 + VAT, one-off, paid in full at the time of purchase. It lasts 30 days from activation, does not renew automatically and is not a subscription. Only one pilot is available per company.
- Scope. The pilot includes: one use case agreed with the Customer (for example, sorting incoming requests, following up on quotes or preparing weekly summaries); up to 5 users; one channel of the Customer’s choice among Telegram, Slack and Discord; setup (review, configuration and connection to the chosen channel); standard skills only, without custom development; the private dedicated environment and confirmation before sensitive actions, as in the Service; use of the artificial intelligence systems, only through Rilvo’s AI account and subject to reasonable use (Article 5.7); human support throughout the pilot; and, at the end, a final report on what the Service did, what worked, what to change and how to continue. The Customer cannot connect its own AI account during the pilot.
- Applicable terms. These Terms and the Data Processing Agreement apply to the pilot, except for the provisions on the monthly fee, recurring charges, renewal and cancellation (Articles 7.1, 8.1 second sentence, 8.2, 8.3 and 9).
- First month free. If the Customer subscribes to a monthly plan (Rilvo Coworker at €249 or Rilvo Coworker with your own AI account at €189, Article 7.1) within 30 days after the end of the pilot, the first month of that plan is free of charge. This benefit cannot be exchanged for cash, is not transferable and applies only once. To claim it, the Customer receives from Rilvo a personal code to be entered when subscribing. The use case configured in the pilot is kept in the monthly plan.
- If the Customer does not continue. No further amount is due and the final report remains the Customer’s. At the end of the 30 days the pilot Service stops; Rilvo keeps the configuration and data for up to 30 days after delivery of the final report, to allow the Customer to continue, and then returns or erases them in accordance with Article 17.2 and the Data Processing Agreement.
- Refunds. The price of the pilot is not refundable, except as provided in Article 4.6 or in the event of a breach by Rilvo.
7.8. Consulting on AI assistants and agents. Rilvo provides consulting on choosing, configuring and using third-party artificial intelligence assistants and agents (for example, choosing the platform, configuration, and reviewing permissions and sharing settings), as a service separate from the Rilvo Coworker Service.
- Free first conversation. The first conversation, lasting 30 minutes and held online, is free of charge and non-binding for both Parties; it is requested through the contact form on the website. It does not create any contract.
- Hourly consulting. Consulting costs €90 per hour + VAT and is billed in 30-minute units (€45 + VAT per unit), based on the time actually spent; each unit started is counted in full. Units are paid in advance through the relevant Payment Link, in the number agreed with Rilvo (Article 8.1), or the time is deducted from a prepaid hour pack (Article 7.2). Rilvo will notify the Customer before the paid units are exceeded and will continue only once additional units have been paid. Units paid through the Payment Link and not used are refunded to the Customer at the end of the agreed work.
- Training. Online team training is governed by Articles 7.5 and 7.6.
- Licences and accounts. Platform licences are purchased and paid for by the Customer directly from the vendors and are not included in the consulting price. Accounts, data and the choice of tool remain the Customer’s. Consulting does not include day-to-day technical management of the platforms or the development of custom skills or integrations (Article 7.3).
- Independence. Rilvo is not a partner, reseller or agent of OpenAI, Anthropic, Microsoft, Google or xAI and receives no commission or other remuneration from them for the licences or services the Customer purchases. Rilvo also offers its own Rilvo Coworker Service: where the consulting concerns a choice between tools, Rilvo will disclose this to the Customer.
- Nature of the consulting. Rilvo provides the consulting with professional diligence, as an obligation of means and not of result. Consulting and training do not constitute legal, tax or other regulated professional advice and do not guarantee the Customer’s compliance with applicable law, including Regulation (EU) 2024/1689 (AI Act). Decisions on adopting and using the tools remain the Customer’s. Articles 15 and 18 apply.
- If Rilvo processes personal data on the Customer’s behalf in the course of consulting or training, the Data Processing Agreement applies.
8. Payments and invoicing
8.1. The fee for the monthly plans (Article 7.1) is payable monthly in advance: the first fee at the time of subscription through the Payment Link, and subsequent fees by automatic recurring charge each month on the corresponding date, through Stripe (Stripe Payments Europe, Limited), to the payment method used for the subscription. Where the free first month after the pilot applies (Article 7.7), the first charge is made at the end of the free month. Only card payments are accepted, including through Apple Pay or Google Pay. The pilot (Article 7.7), prepaid hour packs (Article 7.2), online team training (Article 7.5) and hourly consulting (Article 7.8) are paid in full at the time of purchase through the relevant Payment Link.
8.2. The Customer authorises Rilvo, through Stripe, to charge the amounts due on a recurring basis until cancellation. The Customer shall keep its payment details up to date. Rilvo does not store full card details.
8.3. If a renewal payment fails, Stripe will retry the charge for 1 week and the Customer will receive payment reminders. During this period, Rilvo may suspend the Service until the payment succeeds. If the payment has still not succeeded at the end of this period, the subscription is cancelled and the Service ends.
8.4. Invoices are issued by the Romanian company S.C. Asperitas Solutions S.A. and sent by email (Article 4.4). For Customers established in another EU Member State that hold a valid VAT number, invoices are issued without VAT under the reverse-charge mechanism: no VAT is charged on the invoice (for Customers in Italy, no Italian VAT is charged) and the Customer accounts for the VAT in its own Member State. Rilvo does not issue electronic invoices through the Italian Exchange System (Sistema di Interscambio, SdI).
9. Term, renewal and cancellation
9.1. The Contract for the monthly plans of the Service has no minimum term: it runs on a monthly basis and renews automatically each month on the billing date. The pilot does not renew (Article 7.7).
9.2. The Customer may cancel at any time, without notice, before the next billing date, through the Stripe customer portal or by email to contact@rilvo.it. The Service remains active until the end of the month already paid; no refunds, full or partial, are given for the month already paid.
9.3. Rilvo may terminate the Contract for convenience, including if the Service is discontinued, by giving at least 90 days’ written notice, with effect at the end of a monthly period.
10. Customer obligations and permitted use
10.1. The Customer undertakes to:
- use the Service only for lawful purposes and in compliance with applicable law, including data protection law and the rules on marketing communications;
- grant Rilvo only the access and permissions strictly necessary on its tools and accounts;
- keep its credentials safe and promptly inform Rilvo of any unauthorised or suspected use;
- provide correct and up-to-date information and data, and hold the rights and legal bases necessary for the data it makes available to the Service;
- review and approve the content and actions proposed by the Service, as provided for in Article 6;
- comply with the terms of use of the connected third-party services (for example, Telegram, Slack, Discord).
10.2. It is prohibited to use the Service to: send spam or unsolicited communications; carry out fraudulent or defamatory activities or activities that infringe third-party rights; process special categories of data (Article 9 GDPR) without prior written agreement with Rilvo; attempt to circumvent security measures, or to reverse engineer or copy the Service; resell the Service to third parties without authorisation.
10.3. The Customer is responsible for the use of the Service by its employees and contractors and shall indemnify Rilvo against third-party claims arising from a breach of this Article.
11. Rilvo’s obligations and service levels
11.1. Rilvo provides the Service with professional diligence and in accordance with industry best practice, as an obligation of means and not of result (best effort).
11.2. Unless otherwise agreed in writing, Rilvo does not guarantee any minimum availability of the Service (uptime) or specific resolution times.
11.3. Support is provided by email, chat and telephone, through the contact details communicated by Rilvo, and through a ticketing system when available. There are no fixed support hours and no guaranteed response times.
11.4. Rilvo may carry out maintenance, notifying the Customer in advance where possible for scheduled maintenance involving interruptions.
11.5. Rilvo may change the technical features of the Service (for example, the artificial intelligence models or the providers used), provided that the essential functionalities are not significantly reduced.
12. Personal data protection
12.1. For the personal data of the Customer’s contact persons (contact details, invoicing, communications), Rilvo acts as controller, in accordance with the Privacy Policy available at https://rilvo.net/privacy-policy/.
12.2. For the personal data that the Customer processes through the Service (for example, emails, documents, data about its customers and suppliers), the Customer is the controller and Rilvo acts as processor under Article 28 GDPR. The processing is governed by a separate Data Processing Agreement, which forms an integral part of the Contract and sets out, among other things, the security measures and the sub-processors (including the hosting providers and the providers of artificial intelligence models). In the “Rilvo Coworker with your own AI account” plan, the Customer’s AI provider is not a sub-processor of Rilvo (Article 5.9). (Annex 1 – Data Processing Agreement under Article 28 GDPR, available at https://rilvo.net/dpa/)
12.3. The Customer warrants that it has a valid legal basis for the data it makes available to the Service and that it has informed the data subjects where necessary.
13. Confidentiality
13.1. Each Party shall keep confidential any non-public information received from the other Party in connection with the Contract (for example, commercial data, documents, internal processes, credentials) and shall use it only to perform the Contract.
13.2. This obligation does not apply to information that is already public through no fault of the receiving Party, that was already lawfully known to it or received from third parties without a duty of confidentiality, or whose disclosure is required by law or by an authority.
13.3. The confidentiality obligation remains in force for 3 years after the termination of the Contract and, for credentials and personal data, without time limit.
14. Intellectual property
14.1. The Customer retains ownership of its own data and content and of the outputs produced by the Service for the Customer (for example, drafts, quotes and documents), to the extent permitted by law. The Customer grants Rilvo the right to use them solely to provide the Service.
14.2. Rilvo retains ownership of its know-how, configurations, instructions, “skills”, workflows, templates and software developed or used for the Service, even if created or adapted during the relationship with the Customer. The Customer is granted a non-exclusive, non-transferable right of use for the duration of the Contract.
14.3. Rilvo does not use the Customer’s data to train artificial intelligence models. The models are used through APIs with Rilvo’s business accounts, whose terms exclude the use of customer data for training, as set out in the Data Processing Agreement. In the “Rilvo Coworker with your own AI account” plan, the models are used through the Customer’s account, and the provider’s use of the data is governed by the contract between the Customer and the provider (Article 5.9).
15. Third-party services
15.1. The Service relies on third-party services, including Telegram, Slack, Discord, hosting providers and providers of artificial intelligence models, as well as the Customer’s tools connected to the Service and, in the “Rilvo Coworker with your own AI account” plan, the AI provider chosen by the Customer (Article 5.9).
15.2. The availability, features and terms of these services are outside Rilvo’s control. Rilvo is not liable for interruptions, changes or discontinuation of third-party services, but will endeavour to find reasonable alternative solutions where possible.
15.3. The Customer’s use of third-party services is subject to their respective terms, which the Customer undertakes to comply with.
16. Suspension and termination
16.1. Rilvo may suspend the Service, informing the Customer, in the event of: non-payment, during the payment retry period provided for in Article 8.3, at the end of which the subscription is cancelled; breach of Article 10; a concrete risk to the security of the Service, of Rilvo or of third parties; or a request from an authority. Where possible, the suspension is limited to the functions concerned.
16.2. Either Party may terminate the Contract by written notice if the other Party commits a material breach and fails to remedy it within 15 days of being notified of it. Rilvo may terminate the Contract with immediate effect in the event of a breach of Article 3 or of serious breaches of Article 10.
17. Effects of termination
17.1. On termination of the Contract, for any reason, the Service’s access to the Customer’s tools ends. The Customer must revoke the authorisations granted to Rilvo on its accounts.
17.2. At the Customer’s request made within 30 days of termination, Rilvo will return the Customer’s data in a commonly used, machine-readable format. After that period, Rilvo will delete the Customer’s data, except for data it must retain to comply with legal obligations, as provided for in the Data Processing Agreement.
17.3. Amounts accrued up to termination remain payable. Provisions which by their nature are intended to survive (for example, confidentiality, intellectual property, liability, governing law) remain in effect.
18. Limitation of liability
18.1. Rilvo is liable for direct damage caused by its failure to perform its obligations. Except in cases of wilful misconduct or gross negligence, Rilvo is not liable for indirect or consequential damage, including loss of profit, revenue, business opportunities or data (where the Customer has not kept copies), or damage to reputation.
18.2. Except in cases of wilful misconduct or gross negligence, Rilvo’s total liability arising from the Contract shall not exceed the amount of the fees paid by the Customer in the 12 months preceding the event that caused the damage.
18.3. Rilvo is not liable for damage resulting from: content or actions approved by the Customer; use of the Service in breach of the Terms; inaccurate data provided by the Customer; interruptions or malfunctions of third-party services (Article 15); the terms, costs or interruptions of the AI provider chosen by the Customer (Article 5.9).
18.4. The exclusions and limitations in this Article do not apply in cases of wilful misconduct or gross negligence and, in any event, apply only to the extent permitted by applicable mandatory law.
19. Changes to prices and Terms
19.1. Rilvo may change the prices or these Terms by notifying the Customer by email at least 30 days in advance. The changes apply from the first monthly period following the end of the notice period.
19.2. If the Customer does not accept the changes, it may cancel the Contract before they take effect, free of charge. Prepaid hour packs already purchased remain valid under the conditions in force at the time of purchase.
19.3. Changes required to comply with legal obligations may take effect with the shortest notice permitted by the circumstances.
20. Force majeure
Neither Party is liable for delays or failures to perform caused by events beyond its reasonable control (for example, natural disasters, wars, acts of authorities, widespread outages of networks, power or cloud services, large-scale cyberattacks). The affected Party shall inform the other without delay. If the event lasts more than 30 days, either Party may terminate the Contract by written notice. The obligation to pay fees already accrued is not suspended.
21. Assignment
The Customer may not assign the Contract without Rilvo’s written consent. Rilvo may assign the Contract to a company of its group or in the event of a sale or transfer of its business or of a business unit, notifying the Customer. Rilvo may use subcontractors and remains responsible for their performance.
22. Notices
Notices relating to the Contract are sent by email: to Rilvo at contact@rilvo.it (for data protection matters: privacy@rilvo.net), and to the Customer at the address provided at subscription. Each Party shall promptly notify the other of any change.
23. Final provisions
23.1. Entire agreement. The Contract constitutes the entire agreement between the Parties on its subject matter and supersedes all prior understandings, whether written or oral.
23.2. Severability. If any clause is found to be invalid or unenforceable, the remaining clauses remain valid; the Parties shall replace the invalid clause with a valid one whose content is as close as possible to it.
23.3. No waiver. Failure to object to a breach does not constitute a waiver of the related rights.
23.4. Language. These Terms are available in several languages. In the event of any conflict between the versions, the English version prevails.
24. Governing law and jurisdiction
24.1. The Contract is governed by Romanian law.
24.2. Any dispute relating to the Contract, including its validity, interpretation, performance and termination, falls within the exclusive jurisdiction of the competent courts of Brașov, Romania.
24.3. This is without prejudice to the mandatory provisions of the law of the Customer’s country which, under the applicable rules, cannot be derogated from by contract.
25. Express acceptance of specific clauses
25.1. Pursuant to Articles 1202 and 1203 of the Romanian Civil Code, the Customer declares that it has carefully read and expressly accepts the following clauses: 3.3 (refusal or termination if the Customer is a consumer); 5.7 (reasonable use); 5.9 (plan with your own AI account: the Customer’s responsibility for its own AI provider and the related costs, fee payable even without a valid key); 7.2 (expiry and non-refundability of unused hours in prepaid packs); 7.6 (50% penalty for cancelling training less than 7 days before); 7.7 (pilot: non-refundability and conditions of the free first month); 7.8 (consulting: billing in 30-minute units, with each unit started counted in full, obligation of means, no legal advice and no guarantee of compliance); 8.3 and 16 (suspension of the Service during the payment retries, cancellation of the subscription for non-payment, and termination of the Contract); 9.1 (automatic monthly renewal); 9.2 (no refund for the month already paid); 9.3 (termination by Rilvo); 11.2, 11.5 and 15.2 (no guaranteed service levels, technical changes, third-party services); 18 (limitation and exclusion of liability); 19 (changes to prices and Terms); 21 (assignment by Rilvo); 24 (governing law and exclusive jurisdiction).
25.2. The express acceptance of the clauses listed in Article 25.1 takes place before payment, on the Payment Link page, by means of a declaration separate from the acceptance of the Terms (Article 4.3(c)), whose text refers to those clauses.
